Novation real estate: how novation agreements work in wholesaling
In novation real estate deals, the original contract is replaced by a new one, with everyone’s consent.
For wholesalers, a novation agreement opens an extra exit: selling to a retail buyer, often through the MLS, instead of only to a cash investor. This guide explains how it works, how it compares with assignments and the points to settle first.

What is novation in real estate?
Novation substitutes a new contract, or a new party, for an existing one and releases the original party from its obligations. It requires the consent of every party.
That release is what sets it apart: in an assignment, you transfer your rights but may stay responsible if the new party fails. In a novation, by contrast, the old agreement ends and the original party steps out completely.

In wholesaling, the investor and seller replace the purchase contract with a novation agreement.
The investor then markets the home, sometimes after light repairs, to a retail buyer who buys directly from the seller, and the investor earns the agreed difference at closing. Because retail buyers can use mortgages, novation reaches buyers an assignment never would.
| Assignment | Novation |
|---|---|
| Rights transferred to a buyer | Contract replaced with consent |
| Original party may stay liable | Original party released |
| Usually sold to cash investors | Can be sold to retail buyers |
How a novation agreement works
Most novation deals follow three steps:
- Agree terms with the seller.
Sign a purchase agreement, then a novation agreement that replaces it, spelling out the seller’s net price, your compensation, who pays for repairs and marketing, and the timeline.
- Prepare and market the home.
With the seller’s permission, make repairs, then market to retail buyers, often with a listing agent.
- Close with the end buyer.
The buyer purchases directly from the seller. The seller gets the agreed net, and you receive the difference.

Novation checklist
Novation real estate vs assignment vs double close
Wholesalers have three main ways to move a deal, and each fits a different property, seller and buyer:
Novation works best when the home is in fair condition, the seller wants more than an investor would pay and the retail market is active. If the house needs heavy repairs or the seller needs cash in days, an assignment or double close may fit better.
How the money works in a novation real estate deal
A novation deal turns on the gap between the seller’s net price and the retail sale price. From that gap you subtract repairs, marketing, commissions and closing costs:
| Item | Example |
|---|---|
| Retail sale price | $320,000 |
| Seller’s agreed net | −$260,000 |
| Repairs and staging | −$15,000 |
| Commissions and closing costs | −$22,000 |
| Investor compensation | $23,000 |
Hypothetical example. Compare the result with what an assignment to a cash buyer would pay, and budget for the weeks or months a retail sale can take.
Legal, financial and ethical points in novation real estate
Novation involves more parties than an assignment. Contract, licensing and marketing laws differ by state, and marketing a property you don’t own may require a license in some places. So get qualified legal advice before your first novation.
Protect the seller

Explain the structure in plain language, disclose how you are paid and make sure the seller can exit if the home doesn’t sell by a set date. In addition, clarify who carries insurance and utilities while the home is marketed, and involve tax professionals.
